Agreement
These Terms and Conditions ("Terms") govern access to and use of HealthOS. By using HealthOS, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
Eligibility and Authority
You must be legally able to enter into this agreement and, if acting for an organization, authorized to bind that organization.
Acceptable Use
You agree not to:
- Use HealthOS for unlawful, harmful, or deceptive activities.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Interfere with service integrity, performance, or security.
- Reverse engineer or misuse platform APIs beyond documented and permitted use.
Account Security
You are responsible for safeguarding credentials, configuring access controls, and promptly notifying us of unauthorized access or suspected compromise.
Customer Data
Customers retain ownership of data submitted to HealthOS. You grant HealthOS the rights necessary to host, process, transmit, and display data solely to provide and support services under these Terms and applicable agreements.
Healthcare and Regulated Data
If you process regulated health data, you are responsible for ensuring appropriate legal agreements (including any required BAA), lawful data use, and operational compliance obligations.
Service Availability and Changes
HealthOS may update, improve, or modify features over time. We aim for high availability but do not guarantee uninterrupted service.
Third-Party Services
HealthOS may integrate with third-party providers. Use of third-party services may be subject to their separate terms and policies.
Fees and Payment
If your use includes paid features, fees and billing terms are governed by your order form, subscription plan, or separate commercial agreement.
Intellectual Property
HealthOS and its software, documentation, and branding are protected by intellectual property laws. Except for rights explicitly granted, no license or ownership rights are transferred to you.
Confidentiality
Each party may receive confidential information from the other. Confidential information must be protected and used only for permitted purposes.
Disclaimers
HealthOS is provided on an "as is" and "as available" basis except as expressly stated in a written agreement. To the extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the extent permitted by law and except for liabilities that cannot be limited, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data.
Indemnification
You agree to indemnify HealthOS for claims arising from your misuse of the service, violation of law, or violation of these Terms.
Suspension and Termination
We may suspend or terminate access for material violations, security risks, legal requirements, or non-payment. You may stop using HealthOS at any time, subject to contractual commitments.
Governing Law
These Terms are governed by applicable law as set forth in your controlling commercial agreement. If no separate agreement exists, governing law and venue will be determined by HealthOS's principal place of business.
Changes to Terms
We may update these Terms from time to time. Continued use after updates become effective constitutes acceptance of the revised Terms.
